1. Introduction
These Terms & Conditions constitute a legally binding agreement between RS Techno Studios and the user or client. By accessing or using our website, software products, or SaaS platforms (including StayBix), you agree to be bound by these Terms & Conditions.
If you do not agree with any part of these terms, you should not use our services.
2. Scope of Services
RS Techno Studios provides digital and technology-related services, including but not limited to:
- Website design and development
- Software and SaaS product development
- Platform development (such as StayBix)
- Maintenance, upgrades, and technical support services
The exact scope, features, deliverables, timeline, and pricing of any project are defined strictly through a written agreement or contract.
3. Written Agreement & Contract Basis
RS Techno Studios operates strictly on a written agreement basis, especially when payment is involved.
Only the services, features, and commitments explicitly mentioned in the written agreement shall be considered valid.
Any verbal discussion, phone call, or informal communication (including chats) shall not be considered legally binding unless confirmed in writing.
4. Payment Terms
Payment terms are defined in the project agreement and may include:
- Advance payments
- Milestone-based payments
- Full payment prior to final delivery
In case of delayed or non-payment:
- The project may be paused or suspended
- Support and updates may be temporarily discontinued
Unless otherwise stated in writing, all payments are non-refundable.
5. Delivery Timeline
Project timelines are estimates and depend on timely inputs, content, feedback, and approvals from the client.
Any delay caused by the client will automatically extend the delivery timeline.
6. Warranty & Support
RS Techno Studios provides a limited warranty covering only technical defects or code-related issues that arise under normal usage.
The warranty does not cover:
- Changes or modifications made by the client or third parties
- Issues related to hosting, servers, APIs, or third-party services
- New feature requests or design changes after delivery
The warranty period and support duration are clearly defined in the contract.
7. Client Responsibilities
The client is responsible for:
- Providing accurate and lawful content and information
- Sharing feedback and approvals in a timely manner
- Ensuring proper licenses for third-party tools, content, or media
RS Techno Studios shall not be liable for issues arising from incorrect, illegal, or unauthorized client-provided content.
8. Intellectual Property & Portfolio Rights
Until full payment is received, all developed code, designs, and software remain the intellectual property of RS Techno Studios.
After full payment:
- Ownership is transferred to the client as per the written agreement
- RS Techno Studios retains the right to display the work in its portfolio only if the project was delivered under the standard service plan
If the client opts for an add-on plan, white-label plan, or exclusive ownership option (for example, by paying an additional fee), RS Techno Studios shall not display the project in its portfolio, and full rights shall remain exclusively with the client.
For example:
- If a project is completed for INR 10,000 under the standard plan, RS Techno Studios may showcase it as “Developed by RS Techno Studios”.
- If an additional amount is paid for exclusive rights, the project will not be used for portfolio or promotional purposes.
9. Limitation of Liability
RS Techno Studios shall not be liable for any indirect, incidental, or consequential damages, including loss of business, revenue, or data.
Our total liability shall never exceed the amount paid by the client for the specific service in question.
10. Termination
Either party may terminate the agreement in case of a material breach of these terms or the contract.
In the event of termination:
- Payment for completed work shall remain payable
- Advance payments may be non-refundable as per contract terms
11. Changes to Terms
RS Techno Studios reserves the right to modify these Terms & Conditions at any time. The updated version will be effective immediately upon posting.
12. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to Indian jurisdiction.
